    Partnership Law Legal Research

    The importance as well as the complexity of partnership law is aptly demonstrated by the frequency of litigation in this area and the efforts of state legislators to provide guidance through the adoption of uniform laws.

    NLRG's experience in partnership law embraces a full range of issues and services, from telephone reports on interpretation of a term in a partnership agreement to appellate briefs on complex issues raised by dissolution of a partnership.

    The existence of the Uniform Partnership Act and the Uniform Limited Partnership Act and our nationwide experience in interpreting these Acts allows us to provide guidance to clients drafting partnership agreements and attempting to answer partnership questions not addressed in the client's jurisdiction.  We also have the capability to resolve sophisticated questions not addressed by the uniform acts and the jurisdiction's existing case law.

    The following are descriptions of some of the assignments which have been completed by NLRG attorneys specializing in partnership law:

    • Fiduciary duty of one partner to account to other partners for wrongful profits
    • Construction of the term "other business interests" in a partnership agreement provision concerning usurpation of partnership business opportunities
    • Analysis of all facts relating to a business to determine if the required elements for creation of a partnership are present
    • Disbursement of legal fees collected before and after dissolution of a partnership for the practice of law
    • Use of fair market value or other methods for valuation of a partnership interest upon withdrawal of a partner
    • Imputing one partner's knowledge of criminal acts to other partners for purposes of assessing liability
    • Rights of a limited partner as against a general partner with regard to protecting partnership assets.
